These terms govern the use of this website and the provision of advisory services by Wildfern. Please read them carefully. By using this website or engaging Wildfern's services, you agree to these terms.
1. Definitions
In these Terms:
- "Wildfern", "we", "us", "our" — refers to the advisory practice operating at 34 Nakhon Sawan Road, Wat Sommanat, Pom Prap Sattru Phai, Bangkok 10100, Thailand.
- "You", "Client", "User" — the individual or organisation using this website or entering into an advisory engagement with Wildfern.
- "Services" — the advisory engagements described on this website, including Mission Clarity Sessions, Programme Design Engagements, and Social Enterprise Advisory.
- "Engagement Agreement" — the written or email-confirmed agreement outlining the scope and terms of a specific engagement.
- "Content" — all text, documents, written notes, and other materials produced by Wildfern as part of the Services.
2. Acceptance of Terms
By submitting an enquiry through this website, entering into an Engagement Agreement, or using any Wildfern Services, you agree to be bound by these Terms. If you do not agree, please do not proceed.
Our Services are available to organisations and individuals aged 18 years and above with the legal capacity to enter into binding agreements.
3. Services Description
Wildfern provides non-regulated advisory services to nonprofits and social enterprises. Our engagements cover operational guidance, mission articulation, programme design, and organisational advisory on non-regulated matters.
We do not provide legal advice, financial advice, investment guidance, medical advice, or any service requiring a professional licence. Nothing in our communications or written outputs should be construed as such advice. Clients requiring professional advice in regulated areas should engage appropriately licensed practitioners.
Services are primarily delivered in Bangkok, Thailand. Remote delivery may be available by prior arrangement.
4. Engagement Terms
Each advisory engagement is governed by an Engagement Agreement confirmed in writing (including by email) prior to the start of the engagement. The Engagement Agreement will specify:
- The scope and type of engagement.
- Session dates and format.
- Deliverables and expected timelines.
- Fees and payment terms.
In the event of any conflict between these Terms and a specific Engagement Agreement, the Engagement Agreement takes precedence for that engagement.
5. Client Responsibilities
To allow Wildfern to provide effective advisory services, Clients agree to:
- Provide accurate and sufficient information about your organisation when requested.
- Participate in preparation calls and sessions in good faith.
- Review and respond to written outputs within a reasonable timeframe.
- Use this website and any outputs for lawful purposes only.
- Not share written outputs in ways that misrepresent their source or context.
6. Fees and Payment
Fees for advisory engagements are stated in Thai Baht (฿) and confirmed in the Engagement Agreement. Current indicative pricing is listed on this website but is subject to confirmation before each engagement.
- Payment terms are stated in the Engagement Agreement and are typically due within 14 days of invoice.
- For ongoing monthly engagements, invoices are issued at the start of each month.
- Fees are not contingent on any particular outcome or result.
Cancellation and rescheduling: Sessions cancelled with less than 48 hours' notice may be subject to a cancellation charge as specified in the Engagement Agreement. Wildfern will provide reasonable notice if a session needs to be rescheduled on our side.
7. Confidentiality
Wildfern treats all information shared by Clients as confidential. We do not share client-specific information with third parties, other clients, or the public without your consent, except as required by law.
Clients should treat written outputs and session notes as confidential documents intended for internal use. Where sharing externally, please consider whether sensitive information about your organisation requires protection.
8. Intellectual Property
Written outputs, frameworks, and documents produced by Wildfern in the course of an engagement are provided for your organisation's use. Upon payment of fees, you hold a non-exclusive licence to use these materials for your own organisational purposes.
Wildfern retains the right to use general methodologies, approaches, and non-client-specific insights for its own professional development and future advisory work.
All other content on this website — including text, design, and structure — remains the property of Wildfern. You may not reproduce or redistribute website content without our permission.
9. Disclaimers
Wildfern provides advisory services based on professional judgement and experience. However:
- We make no representations as to specific outcomes, results, or impacts from any engagement.
- Written outputs reflect our considered view at the time of delivery and should be understood as advisory documents, not as definitive guidance.
- The effectiveness of any advice depends on how it is applied by your organisation.
- This website and its content are provided for informational purposes and do not constitute advice of any regulated kind.
10. Limitation of Liability
To the fullest extent permitted by Thai law, Wildfern's liability for any claim arising from an engagement is limited to the fees paid for that specific engagement. We are not liable for indirect, consequential, or incidental losses.
Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.
11. Termination
Either party may end an ongoing advisory relationship by providing 30 days' written notice. Fixed-scope engagements (such as the Mission Clarity Session or Programme Design Engagement) are not subject to early termination once commenced, unless agreed otherwise in writing.
Fees for work completed up to the date of termination are payable in full. Provisions relating to confidentiality, intellectual property, and limitation of liability survive termination.
12. Governing Law and Disputes
These Terms are governed by the laws of the Kingdom of Thailand. The parties agree to attempt to resolve any dispute informally through good-faith discussion before resorting to formal proceedings.
If informal resolution is not possible, disputes shall be subject to the jurisdiction of the courts of Bangkok, Thailand.
13. General Provisions
- Entire agreement: These Terms, together with any applicable Engagement Agreement, constitute the entire agreement between the parties on the matters covered.
- Severability: If any provision is found unenforceable, the remainder of these Terms remains in effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it later.
- Assignment: You may not assign your rights under these Terms without our written consent.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the effective date above. For ongoing engagements, material changes will be communicated directly. Continued use of this website after a change constitutes acceptance of the updated Terms.
